| Yamato Group Has Adopted a Pure Holding Company Structure |

To enhance Group management, the Yamato Group has realigned its business structure by taking such measures as spinning off and transferring its logistics, forwarding, moving and other operations to subsidiaries. In addition to establishing a strong Group framework for business formation, the Yamato Group has made changes to its corporate governance and restructured its Takkyubin network.
As the final step in this process, it was necessary to strengthen decision-making for the entire Group and oversight function.
To this end, on November 1, 2005, we separated the functions of the holding company from those of the Delivery business. The operations of the Delivery business have been transferred to Yamato Transport Spin-Off Preparatory Company, a wholly owned subsidiary. This company has been renamed Yamato Transport Co., Ltd. At the same time, the Company, as a pure holding company, has been renamed Yamato Holdings Co., Ltd. (the stock code remains the same as 9064).
The role of Yamato Holdings is to enhance the strengths of the Group and its corporate value through the Group-wide decision-making and optimally distributing management resources. Each Group company, including Yamato Transport, will concentrate on its business to deliver customer satisfaction by providing high-quality services.
Our previous framework has given disproportionate focus to the Delivery business. In the new scheme, Yamato Holdings will concentrate on Group-wide decision-making and oversight to improve Group management efficiency and strengthen its structure. This will be done by giving more priority to fulfilling the interests of shareholders in evaluating the Group businesses and determining the allocation of management resources.
Going forward, the Yamato Group will boost its corporate value to even higher levels. |
